The Official Rules, Regulations,
Terms and Conditions of StockGeneration

�1. StockGeneration (hereinafter "the Game") is defined as the virtual stock exchange Game which is promoted and can be played at this Web Site.

�2. A Visitor is defined as a person who accesses any page stored on the server(s) which contain these Official Rules, Regulations, Terms and Conditions or any other page on this Web Site.

�3. The Web Site is defined as all the information and files stored on the server(s) which contain these Official Rules, Regulations, Terms and Conditions or any other page which is a part of the Game.

�4. A Player in the Game is defined as a person who initiates a request to open an Account at this Web Site.

�5. "Account" is defined as any money accepted by the Company for use in "the Game"

�6. "The Company" is S.G. Ltd. (holder of International Gaming License issued by the Government of the Commonwealth of Dominica on November 17th 1997).

�7. This Web Site is open to residents of legal age in the jurisdiction of residence, where such participation is not prohibited or regulated.

�8. Employees of SG Ltd, and members of their immediate families, are not eligible to participate in StockGeneration.

�9. Player agrees to follow, without exception, the rules of StockGeneration as posted on the Web Site.

�10. These rules, regulations, terms and conditions are subject to change from time to time by the administration of SG when necessary.
�11. Failure to follow such rules may result in disqualification and legal proceedings.

�12. All Payouts shall be paid in US dollars. Any applicable taxes and fees in connection with any Payouts are the sole responsibility of the Player.

�13. Player may elect to collect money on Account at any time and there is no requirement to continue participation in order for a Player to make such request.
In the interests of the holders of shares belonging to companies 10 and 11, and of preserving the dynamics of the game, the owners of SG have the right to decide against reducing the SELL price of these companies in favor of treating the amount of money spent on the purchase of shares in Companies 10 and 11 as if it had been spent on the purchase of shares in Company 9, the Privileged Company at the BUY price on that day.

�14. Player is not required to participate in the Game and such participation, if elected by Player, is at Player's sole option, discretion and risk. Cash appearing on Player?s Account (whether electronically obtained or obtained by other means) is automatically void if electronically misappropriated, altered or tampered with in any way, if mechanically or electronically reproduced, obtained outside authorized legitimate channels, or if it appears due to server failure, database failure or any other error, technical, mechanical or human.

�15. Any and all requests to register or for Payouts become the property of S. G. Ltd. (hereinafter ?the Company?) and will not be returned.
�16. The Company is not responsible for lost, illegible, incomplete, damaged, infected or misdirected e-mails sent to the Company in the course of the Game.
�17. The Company is not responsible for e-mails sent to Players which are not received due to server failure, negligence on the part of the player or the provider of the mail server which services the e-mail of the Player.
�18. Decisions made by the Company in all matters relating to the Game are final, binding and conclusive in all matters.
If necessary (e.g. during server maintenance), SG may provide supplementary information to players (e.g. concerning share prices, etc.) via e-mail. In such instances, information received in this matter is deemed official.
�19. Player consents to use his/her name for advertising and promotional purposes without additional compensation except where prohibited by law. Player, by acceptance of Prize, acknowledges compliance with all rules.
�20. All requests for Payouts which match registered player?s e-mail address, log-in and password will be honoured.
Each pay-out request received from a player, is valid at the sell price displayed at that time, and applies when the player receives confirmation from SG that the pay-out request is being processed.
�21. The Company makes no representations or warranties, implicit or explicit, as to the legal right for Player to participate in the Game nor any of the Company's employees, licensees, distributors, wholesalers, affiliates,
subsidiaries, advertising, promotion or other agencies, media partners, agents or retailers shall have the authority to make any such representations or warranties.
�22. The rules, regulations, terms and conditions contained herein may be modified and/or amended only by the Company posting such modification and/or amendment on the Web Site or by notifying players and interested persons by e-mail.
�23. The Company shall not be liable for computer malfunctions nor attempts by Player to participate in the Game by methods, means or ways not intended by the Company.
The owners of the Stock Exchange decide what information appears on the site.
�24. The rules, regulations, terms and conditions contained herein represents the complete, final and exclusive agreement between the Player and the Company and supersedes and merges all prior agreements, representations and understandings between the Player and the Company.
�25. By submitting a request to register, opening an Account, use and reuse of such an Account, participation in the Game, or acceptance of Payout, Player hereby represents, warrants and certifies all of the following:
�25.1. Player fully understands, agrees to, becomes a party to and shall abide by all rules, regulations, terms and conditions contained herein and as such rules, regulations, terms and conditions may change from time-to-time.
Players should be aware that, since this is a virtual game, some of the information on the site is also of a virtual nature (company profiles, company directors, etc.).
�25.2. Player is over 18 years old or is an adult as that term is defined in layer's jurisdiction.
�25.3. Player shall not allow any other person or third party including, without limitation, any minor, to use or reuse Player's Account, access and/or use any materials or information from the Web Site and any nformation relating to a Player?s Account as stored on Player?s computer or elsewhere, accept any Payout, or participate in the Game.
�25.4. Player does not find the Game or the Web Site to be offensive, objectionable, nor indecent.
�25.5. Player shall hold the Company, its employees, officers, directors, licensees, distributors, wholesalers, endors, affiliates, subsidiaries, advertising, promotion or other agencies, media partners, agents and retailers harmless and shall fully indemnify the same from anyand all costs, expenses, liabilities and damages hatsoever that may arise as a result of Player's; (i) entry, use, or reuse of the Web Site (ii) use of any materials at the Web Site (iii) participation in the Game, or (iv) the acceptance of any Payouts.
�25.6. Player's interest in the Game and the Web Site is personal, and not professional; Player's entering the Web Site is solely for Player's own personal entertainment and any other entrance, access, use or reuse of the Web Site by Player is strictly prohibited.
�25.7. Player fully understands the standards and laws, as such standards and laws relate to the Game, of the community/legal jurisdiction to which Player is transporting the material contained in the Web Site,and layer is solely responsible for his/her actions.
�25.8. Player understands that violating any rule, regulation, term, or condition herein, may be in violation of applicable law. Player shall be solely responsible for any such violation and, in addition, as a consequence of any such violation, Player's access to the Web Site may be terminated and legal proceedings may be initiated.
�25.9. Player shall periodically review at a rate not less than once monthly these Official Rules, Regulations, Terms and Conditions as seen here.
�25.10. Any dispute arising out of or relating to the Game, Payouts, the Company, the random-number generators or databases shall be governed by the laws of the Commonwealth of the Dominica.
�25.11. Player shall not participate in the Game, open, use or reuse an Account, enter the Web Site and, or accept any Payout if Player does not fully understand, agree to, become a party to, and shall abide by, without exception, all rules, regulations, terms and conditions contained herein and as such rules, regulations, terms and conditions may change from time-to-time.
�25.12. All taxes on prizes are the responsibility of the winners. The Company does not accept any responsibility or damage caused to any computer used while playing the Game or accessing the Web Site.
�25.13. The Company does not accept any responsibility for malfunction or inability to play Game which arises from Player not playing game on suitable browser.

�26. The basic Rules of SG.
�26.1. SG operates non-stop, 24 hours a day, 365 days a year.
�26.2. There are 11 virtual companies' shares on the market.
�26.3. There are 3 types of companies: Ordinary Companies (1- 8), Privileged Company (9), High-Profit and High-Risk Companies (10,11).
�26.4. The Ordinary Companies (1- 8).*
* The share prices of these companies change chaotically from the point of view of the players - almost like in a real stock exchange.
They are as likely to rise as they are to fall (in line with changes in the stock exchange).
However, no shareholder can lose more than 5% of his/her invested capital in any one round.
�26.5. The Privileged Company (9).*
*The share price of this company is supported by the owners of SG, this is why its value constantly rises; on average at a rate of 10% monthly (this is approximately 215% annually).
In order to ensure this monthly increase, SG has established a Special Reserves Fund, into which a certain pre-determined amount of the exchange?s revenue (the 1.5% commission charged on every buying/selling transaction) is continuously added.
A fall in the share price of this company is theoretically possible should the following situation arise: panic breaks out in the Stock Exchange and demand for all of the shares on the market ceases, in other words the Special Reserves Fund dries up.
But even in this unimaginable situation - there has never been an event like this in the history of SG ? the share price of Privileged Company (9), under the rules governing the fall in prices, cannot fall by more than 5% in a round. There also exist auxiliary stabilization funds, which ensure the normal operation of the exchange and guarantee liquidity in any scenario.
�26.6. High-Profit and High-Risk Companies (10,11). *
*The description of these companies is self-explanatory.
The share price of these companies increases very fast - over the past few months at a rate of 50% and 100% per month, respectively.
However, in theory their value can fall just as fast.
The round-on-round decrease for Company No. 10, can be as 50%, i.e. the shares could suddenly lose half of their value. In the case of Company No. 11, there is no such limit, which means that the share could become total worthless.
By the way, to date this has never suddenly occurred.
If you pay close attention to the statistics relating to the transactions of these companies - with the help of the STATISTICS and TODAY icons on the main page - you will be able to anticipate the moment, if such a moment will ever occur, when you should stop trading and take your profits.
Especially since you can do this at any time.
�26.7. The shares of all virtual companies (1-11) have 2 prices in SG:
(a) BUY price - this is the price at which you can buy these shares from SG;
(b) SELL price - this is the price at which you can sell these shares to SG.
SG derives its profit from the difference between the BUY price
and the SELL price.
�26.8. SG guarantees you that you can always buy any amount of shares from it at the current BUY price, and sell any amount of shares to it at the current SELL price.
�26.9. The share prices of the Ordinary Companies change twice daily at 00.00 and 12.00 GMT.
The share prices of the Privileged Company (9) and the High-Profit and
High-Risk Companies (10 and 11) change twice weekly on Tuesdays and
Thursdays at 00.00 GMT.

�26.10. There are no conditions governing how long a shareholder can keep his / her shares. Players have the right to sell their shares immediately after buying them. Also, they hold onto their shares for as long as they like.
�26.11.The minimum pay-in is 1 USD, there is no maximum.
